These Terms of Use ("Terms") govern your access to and use of the Arkvas platform, website, assessment, dashboard, and all related services (collectively, the "Services") operated by ARKVAS LLC ("Arkvas," "we," "our," or "us"). These Terms apply to all Arkvas-operated websites, subdomains, and services, including arkvas.com, app.arkvas.com, account.arkvas.com, and any other subdomain operated by Arkvas.

By accessing or using the Services in any way, including browsing the website, taking the assessment, creating an account, or completing a purchase, you agree to be bound by these Terms. If you do not agree, do not use the Services.

Note: Affirmative Acceptance Required. By creating an account or completing a purchase, you will be presented with a checkbox or equivalent mechanism to affirmatively confirm your agreement to these Terms, the Privacy Policy, and the Refund Policy. Passive browsing does not waive your right to later decline, but account creation and purchase require active confirmation. Continued use of the Services after any update to these Terms constitutes acceptance of the revised version.

1. Nature of the Platform — Informational Use Only

Arkvas is a private informational technology platform. It is not a law firm, legal services provider, government agency, or immigration filing portal.

Arkvas:

  • Is not a law firm and does not practice law
  • Does not provide legal advice of any kind
  • Does not provide legal representation or act as anyone's attorney
  • Does not create attorney-client relationships with users or any third party
  • Is not affiliated with the United States government, USCIS, DHS, EOIR, the Department of State, or any federal, state, or local agency
  • Is not endorsed by, sponsored by, or associated with any government agency or bar association
  • Is not a referral service certified or regulated under any state bar program unless expressly stated

Informational Use Only: Arkvas provides automated educational summaries based on your answers and publicly available immigration information. Results are general informational content only. They are not legal advice, do not determine filing strategy or likelihood of approval, and may not account for all facts, deadlines, procedural posture, or recent legal changes. Do not use Arkvas as the sole basis for filing, responding to agency notices, preserving immigration status, or making any time-sensitive legal decision.

No Government Affiliation: Arkvas is a private company. It is not a government agency, filing portal, court, bar association, law firm, or legal aid provider. Government agencies control official forms, filing fees, deadlines, adjudications, and case outcomes. If Arkvas content conflicts with an official government source, the official source controls. Arkvas links to official government resources where applicable; users are responsible for verifying all information with those sources before acting.

Immigration law changes frequently: Information provided through the Services may not reflect the most current regulations, agency guidance, policy updates, or legislative developments. Users should consult a qualified, licensed immigration attorney regarding their specific circumstances before making any legal or immigration decisions.

2. Informational Assessment and Result Summaries

The Arkvas assessment generates automated result summaries based on structured user responses and publicly available information. The assessment is designed as an educational starting point only.

Assessment results and summaries:

  • Are informational and educational only
  • Are not legal determinations, official findings, or conclusions of any kind
  • Do not establish or reflect eligibility for any visa, status, or immigration benefit
  • Do not guarantee visa approval, petition success, or any immigration outcome
  • Do not account for all individual facts, procedural history, prior immigration violations, criminal history, or other legally material circumstances
  • May not reflect the most current changes in immigration law, USCIS policy, or public government guidance
  • Are not a substitute for individualized legal analysis by a licensed attorney

Other immigration options, pathways, or considerations may exist beyond those surfaced by the platform. The absence of a pathway in your results does not mean it is unavailable to you. The presence of a pathway does not mean you meet the legal requirements for it.

Content Version Logging: Arkvas maintains internal version logs of results templates and pathway summaries. A "last reviewed" date and official source references are maintained for pathway content. Users should independently verify all information against current official government sources before taking action.

3. No Confidential Information Through General Forms

Do Not Send Confidential Information: Unless a separate, expressly designated secure intake workflow specifically requests it, do not provide any of the following through general contact forms, support chat, or any other general communication channel on the platform:

  • Passport numbers or copies of travel documents
  • Social Security numbers or Individual Taxpayer Identification Numbers
  • A-numbers (Alien Registration Numbers) or Receipt Numbers
  • Biometric data of any kind
  • Medical records or health history
  • Criminal history records or arrest records
  • Financial account credentials or banking information
  • Detailed immigration history narratives or case-specific legal facts
  • Notices, decisions, or correspondence from DHS, USCIS, EOIR, CBP, ICE, or the Department of State

Sending information through a general platform form does not create an attorney-client relationship with Arkvas or with any attorney listed on the platform. Such communications are not privileged, confidential, or suitable for urgent or emergency legal matters. Arkvas is not equipped to handle emergency immigration situations and is not a substitute for direct consultation with a licensed attorney.

4. User Responsibilities and Prohibited Conduct

By using the Services, you agree to:

  • Provide accurate, truthful, and complete information in all forms and assessment responses
  • Not rely solely on the Services for any legal decision, filing, or immigration action
  • Independently verify all information against current official government sources before acting on it
  • Not misuse, interfere with, or attempt to disrupt the Services or underlying infrastructure
  • Not attempt to reverse engineer, scrape, copy, or extract the assessment logic, pathway data, scoring methodology, or any proprietary content
  • Not use the Services for any unlawful purpose or in violation of these Terms
  • Not impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Not submit false or misleading assessment responses to manipulate results
  • Not use automated tools, bots, or scripts to access the Services without express written permission

Arkvas reserves the right to investigate suspected violations and to cooperate with law enforcement authorities where appropriate. Violation of these responsibilities may result in immediate account suspension or termination without notice or refund.

5. Accounts and Access

Certain features of the Services, including the dashboard, require account creation. At the time of account creation, you will be presented with an affirmative acceptance mechanism — an unchecked checkbox — to confirm your agreement to these Terms and the Privacy Policy. You may not create an account or access restricted features without completing this affirmative acceptance step.

You are solely responsible for:

  • Maintaining the confidentiality of your account credentials
  • Restricting access to your account and devices
  • All activity that occurs under your account, whether or not authorized by you
  • Notifying Arkvas promptly if you suspect unauthorized access to your account

Arkvas is not liable for any loss or damage arising from unauthorized access to your account resulting from your failure to maintain credential security. Arkvas reserves the right to require password resets or suspend accounts where security is suspected to be compromised.

Accounts are for individual personal use only unless expressly agreed otherwise in writing. You may not share, transfer, or sell access to your account.

Consent to Electronic Communications: By creating an account, you consent to receive communications from Arkvas electronically, including via email or in-platform notices. You agree that all agreements, notices, disclosures, and other communications Arkvas provides to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of non-transactional marketing emails at any time by clicking the unsubscribe link in any such email. You may not opt out of transactional or account-related communications while your account remains active.

6. Account Inactivity and Deletion

Inactivity Policy: An account is considered inactive when no login or authenticated activity has been recorded for 180 consecutive days. Arkvas measures inactivity from the date of your last confirmed login to the platform.

Subscription Exception: If you have an active Policy Alert Subscription at the time the 180-day inactivity threshold is reached, your account will not be deleted for inactivity for as long as that subscription remains active and in good standing. Inactivity deletion applies only to accounts with no active subscription. If your subscription lapses, expires, or is cancelled, the inactivity clock resumes from the date of your last confirmed login and the standard 180-day policy applies.

Warning Notices: Before deleting an inactive account, Arkvas will send the following notices to your registered email address:

  • A first warning email 30 days before the scheduled deletion date, notifying you that your account will be permanently deleted if no login activity is recorded before that date.
  • A second warning email 7 days before the scheduled deletion date, notifying you that deletion is imminent and will proceed unless you log in before that date.

Logging into your account at any point before the scheduled deletion date resets the inactivity clock and cancels the pending deletion.

Permanent Deletion: If no login activity is recorded by the end of the 180-day period, your account and all associated data will be permanently and irrecoverably deleted. This includes your assessment responses, saved results, dashboard access, and all other data associated with your account. A final confirmation email will be sent to your registered email address on the date deletion occurs. Neither your account nor any associated data can be recovered after deletion.

Voluntary Deletion: You may request deletion of your account at any time by contacting us at support@arkvas.com or through your account settings. Voluntary deletion is also permanent and irrecoverable. If you have an active Policy Alert Subscription at the time of voluntary deletion, your subscription will be cancelled immediately and no refund will be issued for any remaining days in the current billing period. Dashboard access is forfeited upon deletion without refund.

Effect on Purchased Access: Account deletion, whether due to inactivity or your own request, permanently forfeits any dashboard access purchased under Section 8A and any active Policy Alert Subscription under Section 8B. No refund is issued upon deletion for either the one-time dashboard purchase or any remaining subscription period.

7. User-Submitted Content and License Grant

When you submit assessment responses, feedback, support requests, or other content through the Services, you retain ownership of that content. By submitting content, however, you grant Arkvas a non-exclusive, worldwide, royalty-free, sublicensable license to use, process, store, reproduce, and display that content solely to the extent necessary to operate, maintain, secure, and improve the Services.

Arkvas will not:

  • Use your individual assessment responses for advertising or marketing purposes
  • Sell your submitted content to third parties
  • Share your individually identifiable assessment responses with attorneys, sponsors, or other third parties except as described in the Privacy Policy

Arkvas may use de-identified, aggregated data derived from user submissions for internal research, product improvement, and analytics. Such de-identified data cannot reasonably be linked back to you and is not subject to the restrictions above.

You represent and warrant that any content you submit does not infringe the intellectual property rights of any third party, does not contain false or misleading information, and does not violate any applicable law.

8. Dashboard Access and Policy Alert Subscription

8A. Dashboard Access — One-Time Purchase

Full access to the Arkvas dashboard, including your assessment results summary, saved pathways, and comparison tools, is available through a one-time payment of $29.00 USD.

  • Dashboard access is not a subscription and does not renew automatically. You will never be charged again for dashboard access unless you initiate a new purchase following account deletion.
  • Dashboard access is granted for the lifetime of your account. Your account lifetime is subject to the inactivity policy described in Section 6 of these Terms. If your account is deleted for any reason, including inactivity or your own request, your dashboard access is permanently forfeited. Deleted accounts cannot be recovered.
  • The Policy Alert Subscription described in Section 8B is an optional add-on available exclusively to users who have purchased dashboard access. You must purchase dashboard access before activating the Policy Alert Subscription.
  • At checkout, you will be presented with an unchecked checkbox requiring your affirmative confirmation of these Terms, the Refund Policy, and the stated purchase price. You may not complete a purchase without completing this step.
  • Arkvas reserves the right to modify pricing for future purchases at any time. Price changes do not apply retroactively to completed purchases.

Consent Evidence: Arkvas maintains records of your affirmative consent at checkout, including the version of these Terms, the Refund Policy, and the Privacy Policy presented at the time of purchase, the stated price, and the timestamp and device metadata associated with your confirmation. These records are maintained for at least three years or one year after account termination, whichever is longer.

8B. Policy Alert Subscription — Recurring Monthly Charge

Arkvas offers an optional Policy Alert Subscription for $7.00 USD per month. This subscription delivers notifications of major USCIS policy changes that affect large numbers of people broadly. It does not include visa bulletin updates, USCIS processing time changes, or other routine immigration updates.

The Policy Alert Subscription is available exclusively to users who have purchased dashboard access under Section 8A. You must have an active dashboard access purchase before activating this subscription.

Automatic Renewal. THIS SUBSCRIPTION RENEWS AUTOMATICALLY EVERY MONTH UNTIL YOU CANCEL: By activating the Policy Alert Subscription, you authorize Arkvas to charge $7.00 USD to your payment method on file every 30 days, beginning on the date of your first payment. You will be charged automatically at the start of each billing period without further action or notice from Arkvas unless you have cancelled prior to the renewal date.

Cancellation: You may cancel the Policy Alert Subscription at any time through your dashboard account settings. Cancellation takes effect at the end of the current billing period. You will retain access to policy alerts through the last day of the period you have already paid for. No partial-month refunds are issued. After cancellation takes effect, no further charges will occur.

Price Changes: Arkvas will provide at least 30 days advance written notice by email to your registered address before any increase to the subscription price. If you do not wish to continue at the revised price, you must cancel before the new price takes effect. Continued use of the subscription after the effective date of a price change constitutes your acceptance of the new price.

Confirmation Email: Upon activating the Policy Alert Subscription, Arkvas will send a confirmation email to your registered email address. This email will include the subscription price, billing frequency, instructions for how to cancel, and a link to this Terms of Use and the Refund Policy. If you do not receive this confirmation email within 24 hours of activation, contact us at support@arkvas.com.

Failed Payments: If a scheduled charge to your payment method fails, Arkvas will attempt to notify you by email. Access to policy alerts may be suspended until payment is successfully processed. Arkvas reserves the right to cancel the subscription after repeated failed payment attempts.

Termination for Cause: If your account is suspended or terminated by Arkvas for cause under Section 14, your Policy Alert Subscription will be cancelled immediately. No refund will be issued for any remaining days in the current billing period.

California Residents: If you are a California resident, the following additional terms apply under the California Automatic Renewal Law (Business and Professions Code Section 17600 et seq.): the automatic renewal offer terms disclosed above are considered part of this agreement; your subscription will automatically renew at $7.00 USD per month unless you cancel before the renewal date; you may cancel at any time through your dashboard account settings; Arkvas will send you a confirmation of your subscription terms by email as described above; if Arkvas changes the subscription price, Arkvas will provide advance notice as described above and obtain your affirmative consent before applying any material change to your subscription.

9. Advertising on the Platform

Arkvas displays curated advertisements from a limited number of select third-party sponsors. Advertising on the platform operates under the following rules:

  • All sponsored content is clearly and conspicuously labeled as "Sponsored," "Sponsored Resources," or "Paid Placement" near the relevant content
  • Advertising relationships do not influence assessment results, pathway information, or educational content
  • Arkvas does not endorse the products, services, or claims of advertising partners
  • The presence of an advertisement is not a recommendation by Arkvas
  • Sponsors are vetted by Arkvas for relevance and appropriateness before placement

Sponsored Content and Affiliate Disclosure: Arkvas may display sponsored resources or promoted service providers within the platform. These sponsorships do not currently rely on third-party behavioral advertising cookies, cross-site tracking technologies, or user profiling to target or identify individual users.

Sponsored placements on Arkvas are static and contextual. They are the same for all users and are not based on individual user data, browsing behavior, or personal profiles. Because no behavioral or interest-based targeting is used, there is no individual opt-out mechanism for sponsored placements. Users who wish to manage cookies generally may do so through their browser settings as described in the Cookie Notice.

If you believe a sponsored placement is inaccurate, misleading, or inconsistent with Arkvas's standards, you may report it through the support ticket system. Arkvas will review reported placements and take appropriate action, which may include removal.

10. Refund Policy

Arkvas operates two distinct purchase types, each subject to different refund terms. By completing any purchase, you acknowledge and agree to the standalone Refund Policy, which governs both purchase types in full.

Dashboard Access ($29.00 one-time): Dashboard access purchases are generally non-refundable once access has been granted. Exceptions apply for duplicate charges, confirmed technical failures preventing access for more than 72 consecutive hours, and billing errors made by Arkvas. See the standalone Refund Policy for full terms and how to submit a request.

Policy Alert Subscription ($7.00/month): Subscription charges are generally non-refundable. No partial-month refunds are issued upon cancellation. Your subscription remains active through the end of the billing period in which you cancel, after which no further charges occur. Exceptions apply for duplicate charges and billing errors made by Arkvas. See the standalone Refund Policy for full terms.

Account Deletion: If your account is deleted, whether due to inactivity under Section 6 or your own request, no refund is issued for any remaining dashboard access or active subscription period. See Section 6 for full terms governing account deletion.

11. Intellectual Property

All platform content, branding, trade names, trademarks, service marks, designs, software, assessment structures, pathway logic, scoring methodologies, text, graphics, compilations, and materials are owned by or licensed to Arkvas and are protected by applicable intellectual property laws, including copyright, trademark, and trade secret law.

You may not, without Arkvas's express prior written permission:

  • Copy, reproduce, republish, upload, or transmit any platform content
  • Distribute, sublicense, sell, or commercialize any platform materials
  • Reverse engineer, decompile, disassemble, or attempt to extract the assessment logic, pathway scoring, or underlying software
  • Frame or mirror any portion of the Services on another website or application
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices

Limited Personal Use License. Subject to your compliance with these Terms, Arkvas grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your own personal, non-commercial informational purposes. This license does not include any right to resell, redistribute, or commercially exploit any portion of the Services.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ARKVAS AND ITS AFFILIATES, OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO: ERRORS, INACCURACIES, OR OMISSIONS IN PLATFORM CONTENT; IMMIGRATION OUTCOMES, VISA DENIALS, PETITION REJECTIONS, OR PROCESSING DELAYS; RELIANCE ON INFORMATIONAL CONTENT, ASSESSMENT RESULTS, OR PATHWAY SUMMARIES PROVIDED THROUGH THE SERVICES; MISSED GOVERNMENT DEADLINES, FILING WINDOWS, OR STATUS EXPIRATION RESULTING FROM ACTIONS TAKEN IN RELIANCE ON INFORMATIONAL CONTENT; THIRD-PARTY ACTIONS, SERVICES, LEGAL ADVICE, OR REPRESENTATION; ATTORNEY CONDUCT, AVAILABILITY, COMPETENCE, OR OUTCOMES; DATA LOSS, UNAUTHORIZED ACCESS, SERVICE INTERRUPTIONS, OR TECHNICAL FAILURES; ACTIONS TAKEN OR NOT TAKEN BASED ON ADVERTISING OR SPONSORED CONTENT DISPLAYED ON THE PLATFORM.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. ARKVAS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ARKVAS DOES NOT WARRANT THAT PLATFORM INFORMATION IS COMPLETE, ACCURATE, CURRENT, OR APPLICABLE TO EVERY INDIVIDUAL SITUATION.

LIABILITY CAP: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ARKVAS'S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR STATUTE), WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU ACTUALLY PAID ARKVAS IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. THIS CAP APPLIES EVEN IF ARKVAS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THIS SECTION LIMITS LIABILITY THAT CANNOT LAWFULLY BE DISCLAIMED UNDER APPLICABLE CONSUMER PROTECTION LAW, OR FOR FRAUD, GROSS NEGLIGENCE, OR WILLFUL MISCONDUCT.

13. Indemnification

You agree to indemnify, defend, and hold harmless Arkvas and its affiliates, officers, directors, members, employees, contractors, and agents from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your access to or use of the Services
  • Your violation of these Terms
  • Your reliance on platform content, assessment results, or pathway summaries for legal or immigration decisions
  • Any content you submit through the Services that infringes the rights of a third party or violates applicable law
  • Your violation of any applicable law or regulation

Arkvas reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with Arkvas's defense of such claims and not to settle any such matter without Arkvas's prior written consent.

14. Termination and Suspension

Arkvas reserves the right, in its sole discretion, to suspend or permanently terminate your access to the Services at any time and without prior notice for:

  • Violation of these Terms or any applicable law
  • Conduct that Arkvas reasonably believes is harmful to other users, third parties, or the platform
  • Fraudulent, deceptive, or abusive use of the Services
  • Any reason Arkvas deems necessary to protect the integrity, security, or legal compliance of the platform

Upon termination, your license to use the Services immediately ceases. Access to dashboard features purchased prior to termination for cause is forfeited without refund. If you have an active Policy Alert Subscription at the time of termination, that subscription is cancelled immediately and no refund is issued for any remaining days in the current billing period.

The following sections survive termination and remain in full force: Sections 3, 6, 7, 11, 12, 13, 16, 17, and 20.

15. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 16, you consent to the exclusive personal jurisdiction of the state and federal courts located in the State of Florida for resolution of such dispute, and you waive any objection to the laying of venue in such courts.

16. Arbitration and Class Action Waiver

Agreement to Arbitrate: Except as provided below, disputes arising out of or relating to these Terms, the Services, or your relationship with Arkvas shall be resolved exclusively through final and binding arbitration, rather than in court. This arbitration agreement is governed by the Federal Arbitration Act.

Notice of Dispute Required: Before initiating any arbitration proceeding, the party seeking arbitration must first send the other party a written Notice of Dispute by email to the contact address listed in Section 22 (or, for notices to you, to the email address on your account). The Notice must describe the nature and basis of the claim and the specific relief sought. The parties agree to attempt to resolve the dispute informally for a period of 30 days after the Notice is received. If the dispute is not resolved within that 30-day period, either party may commence arbitration. This pre-arbitration notice requirement is a condition precedent to filing and its satisfaction strengthens the enforceability of this arbitration agreement.

WAIVER OF CLASS ACTIONS, REPRESENTATIVE PROCEEDINGS, AND PRIVATE ATTORNEY GENERAL ACTIONS: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE THE RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER REPRESENTATIVE PROCEEDING, INCLUDING ANY ACTION IN THE CAPACITY OF A PRIVATE ATTORNEY GENERAL. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY ONLY. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.

Arbitration Procedures: Where arbitration is applicable, it shall be conducted by a nationally recognized arbitration forum under its then-current consumer arbitration rules, with proceedings conducted in Florida or by remote means. Each party shall bear its own arbitration costs unless the arbitrator determines otherwise or applicable law requires otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Exceptions: Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement of intellectual property rights, unauthorized access, or other irreparable harm. Claims that cannot be arbitrated as a matter of applicable law are also excluded.

Opt-Out: If you do not wish to be bound by this arbitration agreement, you must notify Arkvas in writing within 30 days of first accepting these Terms or registering to use the Services. Opt-out requests should be sent to privacy@arkvas.com or to the U.S. mailing address listed in Section 22. Opting out of arbitration does not affect any other provision of these Terms.

Amendment to Arbitration Provision: Any amendment to this arbitration provision will not apply to any dispute for which a written Notice of Dispute was provided prior to the effective date of the amendment. If Arkvas terminates these Terms, such termination will not be effective as to this arbitration provision until at least 30 days after written notice of termination is provided to you, and will not apply to disputes that arose prior to the termination date.

17. Changes to These Terms

Arkvas may update these Terms at any time. For non-material changes, updated Terms will be posted with a revised effective date and your continued use of the Services constitutes acceptance. For material changes — including changes to arbitration, liability, or payment terms — Arkvas will provide advance notice via email to your registered address or via a prominent in-platform notification. If you do not agree to material changes, you must stop using the Services before the changes take effect.

18. Force Majeure

Arkvas shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including without limitation acts of God, natural disasters, war, civil unrest, terrorism, government action, labor disputes, internet or telecommunications outages, or third-party service provider failures. In such circumstances, Arkvas's obligations are suspended for the duration of the force majeure event.

19. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, without affecting the validity of the remaining provisions. Arkvas's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision for future enforcement.

20. Assignment

You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms, in whole or in part, without Arkvas's prior written consent. Any attempted assignment without such consent is null and void. Arkvas may assign these Terms or any rights hereunder without restriction, including in connection with a merger, acquisition, or sale of assets, provided that Arkvas provides notice to you of any such assignment.

21. Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and Disclaimer, constitute the entire agreement between you and Arkvas regarding your use of the Services and supersede all prior agreements, representations, or understandings, whether written or oral, relating to the same subject matter. No oral statement, representation, or promise made by any Arkvas representative modifies these Terms unless confirmed in writing and signed by an authorized representative of Arkvas.
